For the purpose of these Terms, “we”, “our”, and “us” refer to OrbitPay, and “you” or “user” refers to any individual, business entity, or organization accessing or using our services.

Once you register on our platform or use our services, it will be considered that you have read, understood, and agreed to these Terms along with our Privacy Policy. Your continued use of the platform signifies your acceptance, and a binding agreement is formed between you and OrbitPay. These Terms do not override any separate agreement entered into with us.

If you do not agree with any part of these Terms, you should discontinue the use of our services immediately.

Nature of Services

OrbitPay provides Pay-In (Payment Gateway) and Payout Services by enabling access to digital payment infrastructure through integrations with authorized banks and regulated financial institutions.

OrbitPay is not a bank, NBFC, or licensed payment system operator. We do not hold, receive, or settle funds at any point. All transactions initiated through the platform are processed, authorized, and settled entirely by partner banks or payment service providers.

Our role is limited to providing a technical platform that facilitates connectivity and transaction flow between users and banking systems. All responsibilities related to fund handling, approvals, settlements, and reversals lie solely with the respective financial institutions.

Provision of Services

OrbitPay may modify, upgrade, suspend, or discontinue any part of its services at any time without prior notice for operational, security, or business reasons.

We reserve the right to restrict or suspend access to the platform in case of suspicious activity, compliance requirements, or system maintenance.

Fees and Charges

Certain services may be subject to applicable fees, commissions, or charges as communicated from time to time. By using the services, you agree to pay all applicable charges.

OrbitPay may revise pricing at its discretion. All transaction processing, including settlements and refunds, is handled by partner banks. OrbitPay shall not be responsible for any delays, failures, or discrepancies caused by such institutions.

Eligibility

By using OrbitPay services, you confirm that you are legally capable of entering into a binding agreement under the laws of India. If you are acting on behalf of an organization, you confirm that you are authorized to bind that entity to these Terms. Users must be at least 18 years of age.

User Responsibilities

You agree to provide accurate and complete information during registration and to keep it updated at all times. You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out through your account.

Any unauthorized use must be reported immediately. OrbitPay reserves the right to suspend or terminate accounts if any information is found to be incorrect, misleading, or suspicious.

Acceptable Use

You agree to use the services only for lawful purposes and in compliance with applicable laws. Any misuse of the platform, including fraudulent transactions, unauthorized access attempts, or activities that may harm the system or other users, is strictly prohibited.

Third-Party Dependencies

All Pay-In and Payout transactions are dependent on banking partners and payment networks. Since these systems are outside our control, OrbitPay is not responsible for any delays, transaction failures, or settlement issues arising from such third-party services.

Users may also be subject to the terms and policies of the respective banks or financial institutions involved in processing transactions.

Disclaimer of Services

Services are provided on an “as is” and “as available” basis. OrbitPay does not guarantee uninterrupted or error-free operation of the platform. Transaction processing times, success rates, and system performance may vary depending on banking networks and external factors.

Limitation of Liability

OrbitPay shall not be liable for any direct or indirect losses arising from the use or inability to use the services, including transaction failures, delays, incorrect transfers, or system disruptions.

All financial liabilities related to fund processing, settlements, and reversals rest solely with the respective partner banks or financial institutions.

Indemnification

You agree to indemnify and hold harmless OrbitPay, its directors, employees, and partners from any claims, damages, or liabilities arising from your use of the services, violation of these Terms, or breach of applicable laws.

Confidentiality

You agree not to disclose or misuse any confidential information related to OrbitPay’s systems, operations, or platform. This obligation continues even after termination of your use of the services.

Termination

OrbitPay reserves the right to suspend or terminate access to its services at any time in case of violation of these Terms, security concerns, or regulatory requirements.

Users may discontinue the use of services at their discretion.

Changes to Terms

OrbitPay may update these Terms at any time without prior notice. Continued use of the platform after such changes will be considered as acceptance of the revised Terms.

Governing Law

These Terms shall be governed by the laws of India. Any disputes arising shall be subject to the jurisdiction of courts in Delhi.
